These Terms of Service (the “Terms”) govern your access to and use of the website www.rosellewellness.com (the “Site”) operated by Roselle Wellness Center (“we,” “us,” or “our”) and your purchase of products from us. By accessing or using the Site or purchasing products, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or purchase our products.

1. Acceptance of Terms

By accessing, browsing, or using this Site and/or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference.  

2. Products and Pricing

• Product Descriptions: We strive to provide accurate and up-to-date descriptions of our products. However, we do not warrant that the product descriptions, images, or other content on the Site are entirely accurate, complete, reliable, current, or error-free. If you receive a product that is materially different from its description, your sole remedy is to return it in unused condition for a refund or exchange, as outlined in our Return Policy.  
• Pricing: All prices are listed in Ghana Cedis (GHS) and are subject to change without notice. We are not responsible for typographical errors regarding pricing. In the event of a pricing error, we reserve the right to refuse or cancel any orders placed at the incorrect price.
• Availability: Product availability is subject to change. We do not guarantee that all products listed on the Site will be in stock at all times. If a product you order is out of stock, we will notify you and offer you the option to wait for the product to become available, choose a different product, or cancel your order.  

3. Ordering and Payment

• Order Placement: By placing an order through our Site, you are making an offer to purchase the products in your order. We reserve the right to accept or reject your order for any reason.  
• Payment: You agree to pay the full price for the products you order, including any applicable taxes and shipping fees. We accept various forms of payment as indicated on our Site. You represent and warrant that you are authorized to use the payment method you provide.
• Order Confirmation: Once your order is placed, you will receive an order confirmation email. This email confirms that we have received your order but does not constitute acceptance of your order. Your order is accepted when we ship your products and send you a shipping confirmation email.  

4. Shipping and Delivery

• Shipping: We will arrange for the shipping of the products you order to the shipping address you provide during the checkout process. Shipping costs and estimated delivery times are provided during checkout and may vary depending on your location and the shipping method selected.
• Delivery: We are not responsible for delays in delivery caused by events beyond our reasonable control, such as weather, natural disasters, or carrier issues. Risk of loss and title for the products pass to you upon our delivery to the carrier.

• Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the content on our Site without our prior written consent, except as expressly permitted by these Terms.  

8. User Content (If Applicable)

• Submissions: If you submit any content to our Site, such as reviews or comments, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.  
• Responsibility: You are solely responsible for the content you submit, and you represent and warrant that you have all necessary rights to grant us the license described above and that your content does not violate any third-party rights or applicable laws.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  

WE MAKE NO WARRANTIES REGARDING THE EFFECTIVENESS OR SAFETY OF THE SUPPLEMENTS SOLD ON OUR SITE. YOU ACKNOWLEDGE THAT THE USE OF SUPPLEMENTS CARRIES INHERENT RISKS, AND YOU SHOULD CONSULT WITH A QUALIFIED HEALTHCARE PROFESSIONAL BEFORE USING ANY NEW SUPPLEMENTS, ESPECIALLY IF YOU HAVE ANY PRE-EXISTING HEALTH CONDITIONS, ARE TAKING MEDICATION, OR ARE PREGNANT OR BREASTFEEDING.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROSELLE WELLNESS CENTER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, YOUR PURCHASE OR USE OF ANY PRODUCTS, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE APPLICABLE PRODUCTS.  

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.  

12. Indemnification

You agree to indemnify, defend, and hold harmless Roselle Wellness Center, its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your use of the Site, your purchase or use of any products, or your violation of any third-party rights.  

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or relating to them shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.  

Any dispute arising out of or relating to these Terms or the Site shall be exclusively resolved in the appropriate courts located in the Republic of Ghana, and you hereby consent to the jurisdiction of such courts.  

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Site, constitute the entire agreement between you and Roselle Wellness Center with respect to the Site and your purchase of products and supersede all prior or contemporaneous communications and proposals, whether oral or written.  

15. Waiver and Severability

No waiver by us of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.  

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be reformed to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
